Terms of Service

These Terms of Service ("Terms") govern your access to and use of The Mountain Mama Club platform, including its AI scheduling assistant ("Mountain Mama"), its website, SMS communications, and related services (collectively, the "Service"), operated by Mountain Mama AI, Inc. ("Company," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Service Description and AI Disclosure

The Mountain Mama Club is an invite-only social coordination platform. Mountain Mama is an artificial intelligence assistant that helps members coordinate plans, schedule gatherings, and connect with friends through SMS and web-based communication.

Mountain Mama is not a human. Mountain Mama is an AI system powered by large language models. All communications from Mountain Mama, including text messages, chat responses, and scheduling suggestions, are generated by artificial intelligence. No human is personally responding to your messages through the Mama interface.

The Service may include the following capabilities: one-on-one and group scheduling, calendar integration, restaurant suggestions, friend invitations, and cross-platform messaging. The specific features available may change as the platform develops.

Mountain Mama may make errors, misunderstand requests, or provide inaccurate information. You are responsible for reviewing and confirming all plans, schedules, and recommendations before acting on them.

2. Eligibility and Access

The Mountain Mama Club is currently available by invitation only. You may only create an account if you have received a valid invitation from an existing member or have been admitted from the waitlist.

We reserve the right to refuse, suspend, or revoke access to the Service at our sole discretion, including for violations of these Terms, abuse of the invite system, or conduct that harms the community.

3. Account Registration and Security

To use the Service, you must provide a valid phone number and complete the onboarding process. You are responsible for maintaining the confidentiality of your account and for all activities that occur under your account.

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

You must notify us immediately of any unauthorized use of your account or any other breach of security.

4. SMS Communications and TCPA Compliance

4.1 Your Consent to Receive Messages

By creating an account and providing your phone number, you expressly consent to receive text messages from the Service, including messages from Mountain Mama regarding scheduling, plan coordination, reminders, and service updates. Message frequency varies based on your usage. Message and data rates may apply.

You may opt out of SMS communications at any time by texting STOP to any message from Mountain Mama. Upon opting out, your ability to use the SMS-based features of the Service will be limited.

4.2 Invitations You Send to Others

The Service allows you to invite others to join The Mountain Mama Club by providing an invite link that you can send to them via text or email.

By sending an invitation, you represent and warrant that: (a) you have a personal relationship with the recipient; (b) you have a reasonable basis to believe the recipient would welcome receiving your invitation; and (c) you will not use the invitation feature to send messages to individuals who have asked you not to contact them.

You agree not to use the invitation feature for commercial solicitation, spam, or harassment. We reserve the right to limit or disable your ability to send invitations if we detect abuse.

5. Google Calendar Integration

The Service offers optional integration with Google Calendar to improve scheduling accuracy. If you choose to connect your Google Calendar, you authorize the Service to access your calendar data solely for the purpose of checking your availability when coordinating plans.

  • What we access: Free/busy status and event times from your connected calendar(s).
  • What we do not access: Event titles, descriptions, attendee lists, locations, or attachments, unless required for a specific scheduling request you initiate.
  • What we never do: Sell, share, or use your calendar data for advertising, marketing, or any purpose unrelated to scheduling coordination within the Service.

You may revoke calendar access at any time through your Google Account settings or through the Service. Revoking access may limit the Service's ability to coordinate schedules on your behalf.

6. User Conduct

You agree not to use the Service to: (a) send unsolicited or unwanted messages to any person; (b) harass, stalk, or intimidate any person; (c) impersonate any person or entity; (d) transmit any content that is unlawful, harmful, threatening, abusive, or otherwise objectionable; (e) interfere with or disrupt the Service; (f) attempt to gain unauthorized access to other users' accounts or data; or (g) use the Service for any commercial purpose not expressly authorized by the Company.

7. Privacy and Data

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review the Privacy Policy carefully to understand how we collect, use, and protect your personal information.

By using the Service, you acknowledge that Mountain Mama processes your messages, preferences, and scheduling data to provide and improve the Service. This includes conversation history, stated preferences, calendar data (if connected), and interaction patterns.

8. Intellectual Property

The Service, including its AI models, software, design, text, graphics, and other content (excluding user-generated content), is owned by or licensed to the Company and is protected by copyright, trademark, and other intellectual property laws.

"Mountain Mama," "The Mountain Mama Club," and associated logos and branding are trademarks of the Company. You may not use these marks without our prior written consent.

You retain ownership of any content you provide to the Service. By using the Service, you grant us a limited, non-exclusive license to use this content solely to provide and improve the Service.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that: (a) the Service will be uninterrupted, secure, or error-free; (b) Mountain Mama's responses, suggestions, or scheduling will be accurate, complete, or reliable; (c) SMS messages will be delivered successfully; (d) third-party services (including Google Calendar, SMS carriers, or restaurant systems) will function correctly; or (e) the Service will meet your specific requirements.

Mountain Mama may suggest restaurants or venues. These suggestions are informational only and do not constitute endorsements. We are not responsible for the quality, safety, or experience at any suggested venue.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR USE OF OR INABILITY TO USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY; (C) ANY CONTENT OBTAINED FROM THE SERVICE; OR (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR DATA.

IN NO EVENT SHALL THE COMPANY'S TOTAL LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO THE COMPANY IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

11. Indemnification

You agree to defend, indemnify, and hold harmless the Company from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; (d) invitations you send through the Service, including any claims by recipients that they did not consent to receive such messages; or (e) your violation of any applicable law, including TCPA and state consumer protection laws.

12. Termination

You may terminate your account at any time by contacting us or through the Service's settings. We may terminate or suspend your account at any time, with or without cause, with or without notice.

Upon termination: (a) your right to use the Service will immediately cease; (b) we will disconnect any linked Google Calendar access; (c) your data will be handled in accordance with our Privacy Policy; and (d) any pending invitations you have sent may still be delivered.

13. Dispute Resolution

These Terms shall be governed by the laws of the State of Oregon, without regard to conflict of law provisions.

Any dispute shall first be submitted to good-faith mediation. If mediation is unsuccessful, the dispute shall be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules.

YOU AND THE COMPANY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

14. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via SMS or email at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
